PLEASE READ THESE TERMS AND CONDITIONS OF USE OF SALUD.IA (“TERMS”) CAREFULLY BEFORE USING THIS APPLICATION.

These “Terms” govern access to and use of the SALUD.IA application, owned by Genetria, S.A.P.I. de C.V.

By accessing and using the information provided by Salud.ia through the registration of an account in this application, you grant your consent and accept these “Terms” in their entirety, thereby constituting the agreement entered into between you and Salud.ia.

You agree that the agreement constituted by these “Terms” has the same validity as any written agreement negotiated and signed by you, and you agree to be bound by its terms and to comply with them in full. You represent and warrant that you possess all rights, power, and authority necessary to enter into this agreement and fulfill your obligations hereunder.

Salud.ia agrees to provide access to and use of the Salud.ia application to those persons who accept these Terms and Conditions. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS OR ANY PART OF THEM, YOU ARE PROHIBITED FROM USING THE SALUD.IA APPLICATION AND MUST REFRAIN FROM ITS USE.

For Salud.ia, it is essential that the User provide truthful, complete, and up-to-date information at all times.

In this regard, any conduct in which the User provides false, inaccurate, or misleading information, whether intentionally or negligently, shall be considered misuse.

If you provide false, inaccurate, or misleading information, Salud.ia shall not assume contractual or non-contractual liability toward you, since such conduct is considered contrary to accepted standards of conduct and, where applicable, an unlawful act by the User.

These Terms constitute an agreement exclusively between you and Salud.ia and are not related to the Google Play platform or the Apple App Store through which access to Salud.ia may be obtained.

DEFINITIONS:

UPDATES: Any improvement, modification, correction, adjustment, patch, new functionality, or change implemented in the Salud.ia application, whether automatically or manually.

INFORMATION: The set of data and reports that Salud.ia obtains or delivers through: i) personal information provided by Users in the SALUD.IA application; ii) AI processing of genetic information obtained from genetic analyses ordered by the User through Salud.ia; iii) AI processing of blood markers obtained through analyses that the User uploads to the application or orders through it.

GENETRIA: Genetria, S.A.P.I. de C.V., owner of Salud.ia.

LABORATORIES: Any laboratory collaborating with GENETRIA.

SALUD.IA: A registered trademark and intelligent digital application that provides information aimed at promoting longevity and physical well-being, based on information provided by you as a User, as well as information obtained from genetic or blood analyses that you authorize to be delivered to Salud.ia for evaluation by the AI developed for Genetria.

USER: A natural person over 18 years of age who has read and accepted these terms and conditions, and who creates an account in the Salud.ia application by providing truthful, complete, and up-to-date information, as well as express consent through the authentication and confirmation mechanisms established by the platform.

If you are aware that you suffer from any illness, are pregnant, are an older adult, or have any type of allergies, the use of Salud.ia must be approved by a physician. Failure by the User to obtain medical approval shall be considered negligent use of this application.

TERMS: These terms and conditions of use of Salud.ia.

INTELLECTUAL PROPERTY AND PURPOSE OF SALUD.IA

Salud.ia is developed using LifeNome Genomics AI® technology and supported by the clinical science of GENETRIA, developed through technological tools and models based on available scientific evidence in relation to the User's genetic and blood analyses.

Salud.ia is a registered trademark, and ownership of the application, including its source code, database, functionality, software, designs, audio, videos, texts, photographs, graphics, trademarks, logos, among others, belongs to GENETRIA or is controlled by GENETRIA, and is protected by intellectual property laws.

If the User is eligible, they shall be granted a limited, non-exclusive, non-transferable license to access and use the application for non-commercial purposes.

No part of the application may be copied, reproduced, published, or used in any manner without the express written authorization of Salud.ia.

Salud.ia is an intelligent digital application that provides information related to the User's health, as well as nutritional and physical activity data, in order to promote the User's well-being and longevity, including interactive reports and scoring indicators.

The general data provided by the User enables Salud.ia to deliver general Information to the User; the User's genetic data and blood biomarkers enable Salud.ia to generate precise guidance based on the User's biomarkers and provide personalized information to support their well-being and longevity.

Through Salud.ia, the User may order blood and genetic analyses, the results of which shall be delivered by the Laboratories to Genetria for processing through AI, enabling Salud.ia to provide the User with Information aimed at promoting their well-being and longevity.

Likewise, the User may obtain products offered through this application and recommended by Salud.ia to support their well-being and longevity, based on their genetic information and blood biomarkers.

REGISTRATION ON SALUD.IA – ADULTS ONLY

It is a mandatory requirement for the use of the Salud.ia application that the User be of legal age in accordance with the laws of their place of residence.

Salud.ia shall presume that the User is of legal age based on the User's good faith.

No minor may use the Salud.ia application, nor shall any minor be authorized to create an account within the application or provide personal information through it.

Salud.ia expressly states that it does not contract with minors. Therefore, providing false information to this application, including information related to age, shall be considered an unlawful practice and shall not create any obligations for Salud.ia toward such person.

If Salud.ia becomes aware that a minor is using the Salud.ia application, we shall take the necessary measures to remove the information provided and cancel the corresponding account.

The User declares that they are of legal age and that the information provided to Salud.ia is truthful, accurate, and complete.

ACCOUNT ON SALUD.IA

To use Salud.ia, the User must create an account in the application and agrees to provide truthful, accurate, and complete information as part of the registration process and to keep such information up to date.

You agree to create a single account intended exclusively for your personal use and to refrain from sharing it with third parties. You are solely responsible for maintaining the confidentiality of the password associated with your account and for all activities conducted through it.

You must immediately notify our Customer Support Team at the following email address: support.saludia@genetria.mx of any loss, suspected loss, theft, or unauthorized use of your account or password.

You may request the deletion of your account at any time; however, once deleted, the associated information may not be recoverable. To request the deletion of personal data and sensitive personal data, the User must initiate the Cancellation or Opposition procedure regarding the use of their personal data and/or sensitive personal data in accordance with the Privacy Notice.

Notwithstanding the foregoing, the User acknowledges and accepts that their information and other data derived from the use of Salud.ia may be used for the development, improvement, training, validation, and optimization of Salud.ia's technological systems, algorithms, and artificial intelligence, as well as the technological tools of LifeNome Genomics AI®, provided that such information has been previously dissociated or anonymized in such a way that neither the User, their identity, nor their records can be directly or indirectly identified.

CHANGES AND UPDATES

Salud.ia may make changes or updates to the Salud.ia application at any time, including automatic updates, which may incorporate improvements, adjustments, modifications, bug fixes, patches, new functionalities, or other optimizations (collectively, the “Updates”). Certain features of the application may not function properly if you do not install or accept such Updates. These “Terms” shall apply to all Updates that are implemented.

We assume no obligation to provide Updates or to permanently maintain any specific feature or functionality of the application. Any update or renewal date indicated shall not be interpreted as a guarantee that all content available in the application or on linked sites has been reviewed or updated.

We reserve the right to modify the content and Information provided by Salud.ia, as well as the activities it performs, at any time, including: (a) suspending, removing, adding, or altering any available content, feature, information, or activity; (b) modifying the software or technical requirements necessary to access or use the application; and (c) adjusting applicable prices, where appropriate. We shall not be liable to you or to any third party for any modification, price change, suspension, or total or partial interruption of the Information and activities carried out through Salud.ia.

Likewise, we may establish restrictions or limits on the partial or total use of the application, or restrict access to part or all of its features, without prior notice and without incurring liability. Certain functionalities of the application may not be available in specific regions or jurisdictions.

We also reserve the right to modify these “Terms” at any time and for any reason, at our sole discretion. In the event of material changes, you will be notified in advance through reasonable means.

Your use of Salud.ia after notification shall constitute your acceptance of the modified Terms. If you do not agree with the modifications, you must stop using the application and proceed to delete your account.

If the User discontinues the use of Salud.ia, it shall be understood that the relationship with Genetria, S.A.P.I. de C.V. has been terminated, and the User grants the broadest release permitted by law, releasing Genetria, S.A.P.I. de C.V. from any liability in connection therewith.

USE OF CONTENT

The content of Salud.ia refers to all Information and materials accessible through the application, including, but not limited to: images, designs, graphics, texts, data, nutritional information, listings, recipes, meal plans, fitness plans, software programs, code, scripts, banners, videos, and any other digital file or resource, as well as the manner in which such elements are organized, structured, and presented (hereinafter, the “Content”).

The User is prohibited from copying, modifying, selling, assigning, sublicensing, pledging, transferring, or commercially exploiting in any manner the application or the Information and Content contained therein.

USE OF CONTENT

The User is prohibited from copying, modifying, selling, assigning, sublicensing, granting security interests in, transferring, or commercially exploiting in any way the application or its Information and Content.

CONTENT ACCURACY

Salud.ia makes no representation or warranty regarding the accuracy, reliability, completeness, or timeliness of the Content available through the application.

Content generated for Users, including, but not limited to, advice, opinions, statements, or information related to food, nutrition, dietary guidance, exercise or training programs, sports activities, and exercise database records, is generated by AI (artificial intelligence). Therefore, the use of such Content is solely the responsibility of the User.

Salud.ia reserves the right, at any time and for any reason, to monitor, review, preselect, edit, remove, modify, reorganize, or reclassify Content generated by the User within the application, as well as to archive or store such Content by any means.

Likewise, Salud.ia may remove, modify, or restrict access to any User-generated Content at any time and for any reason, including content that, in Salud.ia’s sole judgment, violates these Terms, Community Guidelines, or internal policies, without prejudice to the rules applicable to personal data and sensitive personal data as established in the Privacy Notice.

Additionally, certain sections of the Services and Content may incorporate or have been developed using proprietary or third-party technologies, such as artificial intelligence systems, machine learning, or large language models. The User acknowledges that such technologies may generate results, recommendations, or content containing errors, inaccuracies, incomplete information, or bias derived from the data on which they were trained. Consequently, Salud.ia does not guarantee the accuracy, completeness, or usefulness of such results or recommendations and assumes no liability whatsoever for the use of such technology or the information it produces.

LABORATORY RESULTS

“Laboratory Results” refers to the information, data, and reports generated from the analysis of a biological sample provided by the User, including, but not limited to, results derived from DNA analyses, blood biomarkers, and other biochemical or genetic parameters processed by Laboratories.

The “Laboratory Results” constitute personal and sensitive information owned by the User. Notwithstanding the foregoing, the User authorizes Salud.ia to access, process, analyze, interpret, and use such “Laboratory Results” through technological tools and artificial intelligence algorithms, exclusively for the purpose of enabling Salud.ia to provide Information, generate personalized reports, wellness and longevity recommendations, and ensure the proper functioning of the application, in accordance with the applicable Privacy Notice.

The User acknowledges that laboratory results may not meet their expectations and releases Salud.ia from any financial or moral liability arising from any potential impact resulting from such results.

USER DATA SECURITY

Salud.ia implements technological and administrative measures to protect the confidentiality, integrity, and availability of Users' personal data and sensitive personal data in order to prevent loss, alteration, unauthorized access, or improper use within the application. Such measures include, but are not limited to, the use of secure storage systems, access controls, information encryption, and monitoring of technological infrastructure.

The User acknowledges and agrees that the information provided through the Salud.ia application may be stored and processed through third-party services specializing in technological infrastructure, including cloud computing services provided by LifeNome Genomics AI®. In this regard, the User grants express consent for their data to be stored in such services, subject to the security standards implemented by those providers.

Likewise, the User acknowledges that Salud.ia shall not be responsible for failures, vulnerabilities, or security incidents directly attributable to LifeNome Genomics AI® technology infrastructure providers.

With regard to transparency and accountability, Salud.ia undertakes to provide the User with clear and accessible information regarding the processing of their personal data, in accordance with the Salud.ia Privacy Notice. The User may, at any time, request information regarding the use of their data and exercise any applicable ARCO Rights.

THIRD-PARTY MEDICAL ADVICE

DISCLAIMER OF LIABILITY

The User expresses their agreement with the Information contained in Salud.ia and accepts the manner in which it is presented in the application, as well as the scope and extent of its content. Consequently, the User agrees that the use of the Information and this application is at their own risk.

Accordingly, the User is required to consult the appropriate specialists to professionally validate the use of the information provided by Salud.ia. The User acknowledges that failure to verify the relevant information with the appropriate professional constitutes negligence on their part.

Likewise, the User releases GENETRIA from all liability and grants the broadest release permitted by law with respect to any obligation that may arise, directly or indirectly, from the use of Salud.ia.

DISCLAIMER OF LIABILITY FOR PHYSICAL ACTIVITY AND EXERCISE

Part of the Content provided by Salud.ia includes physical activity and exercise recommendations intended to promote the User's physical well-being. We are not medical professionals. The User must consult a physician before beginning to use the application, particularly with regard to physical activity.

We assume no liability for any injury, damage to private property, or health complications resulting from the use of Salud.ia or participation in any physical activity proposed through this application.

LIMITATION OF LIABILITY

Under no circumstances shall GENETRIA, its directors, employees, agents, or any affiliated person be liable to the User or any third party for any direct, indirect, consequential, exemplary, punitive, or other damages arising directly or indirectly from the use of Salud.ia. Our liability shall not exceed the amount paid by the User for subscription fees or other charges associated with the use of this application and shall be limited to a maximum period of six months following the User's subscription date.

SALUD.IA IS NOT A MEDICAL SERVICE

Salud.ia solely provides information and lifestyle guidance based on the User's characteristics or Information.

The Information generated by Salud.ia may include guidance and recommendations produced through artificial intelligence algorithms, which are developed by considering the particular characteristics of each User, including information derived from previously provided DNA data and blood biomarkers. Such information may relate to physical activity, nutrition, skincare, overall wellness, and healthy habits, with the purpose of contributing to improvements in the User's lifestyle.

Salud.ia does not provide medical diagnoses, does not prescribe medications, does not replace a medical consultation, does not constitute clinical treatment, and does not create a physician-patient relationship.

The information provided is intended solely for educational, informational, and guidance purposes; it is not intended to constitute medical advice. Therefore, the application is not a medical device and is not intended to diagnose, prevent, or cure any disease, metabolic disorder, eating disorder, mental disorder, or any other health condition.

Before using the Salud.ia application, consult a medical professional, especially if you are overweight, have diabetes, heart disease, a chronic illness, injuries, disabilities, or any other medical condition.

Salud.ia does not provide management, monitoring, control, or treatment services for chronic diseases, including, but not limited to, diabetes, hypertension, cardiovascular diseases, metabolic disorders, or any other health condition. Consequently, the content, recommendations, and guidance provided by the platform are not designed and should not be used for the care, monitoring, or modification of chronic medical conditions. The User acknowledges that any decision related to their health must be supervised and managed exclusively by a duly qualified healthcare professional.

Likewise, the User is responsible for adopting the necessary safety measures when using the Salud.ia application, maintaining awareness of their surroundings and potential external risks at all times.

Activities related to physical exercise and wellness involve potentially significant risks, including the possibility of bodily injury, property damage, and even death. By participating in such activities, the User voluntarily accepts and assumes all associated risks, whether known or unknown.

PROHIBITED ACTIVITIES

The Information and Content must always be used for lawful purposes.

Salud.ia prohibits the following uses:

• It is prohibited to modify, lease, lend, sell, distribute, or create derivative works from the Information or any Content of Salud.ia, whether in whole or in part. Likewise, downloading, copying, or storing Content is not permitted, except where expressly enabled by the functionality of certain aspects of the Content.

• Salud.ia is designed exclusively for the User’s personal and non-commercial use. It is prohibited to collect, extract, or use any Content, data, or information available through the application for purposes not expressly authorized, including, but not limited to, commercial exploitation, competitive analysis, or the research and development of proprietary products or services.

• It is prohibited to interfere with or attempt to interfere with the normal operation of the application and its Content, or otherwise impair it, including, but not limited to, unauthorized access, interruptions, automated attacks, exploitation, or misuse of the application or its Content.

• It is prohibited to limit or prevent access to and use of the application and Content by other Users.

• The User may not publish, transmit, create, or introduce in any manner materials or information containing viruses, worms, trojans, logic bombs, time bombs, cancelbots, malware, ransomware, adware, or any other malicious code or software program that may affect the operation of the services or third parties.

LIABILITIES

Salud.ia shall not be liable to the User or any third party for:

• Indirect, incidental, special, or consequential damages of any kind.

• Loss of profits, revenue, information, data, use, or other intangible losses.

• Damages arising from access to, use of, or inability to use the application.

• Damages related to acts, omissions, or content of third parties or other users that are defamatory, offensive, or unlawful.

• Damages related to the Content or Information.

CANCELLATION AND TERMINATION

Salud.ia reserves the right to terminate its relationship with the User regardless of the reason. In the event that there is any service pending delivery by Salud.ia, the termination of the agreement shall take effect once the pending obligation has been fulfilled.

The User may cancel their Salud.ia subscription at any time. If there is any outstanding obligation to be fulfilled, the termination shall take effect once the User has complied with all pending obligations.

JURISDICTION AND APPLICABLE LAW

For the interpretation, compliance, and enforcement of these Terms, the parties expressly submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction that may correspond to them now or in the future due to their domicile or for any other reason. The provisions of the Mexican Commercial Code shall apply.

MISCELLANEOUS

These Terms constitute the entire agreement between the User and Salud.ia.

If Salud.ia fails to exercise any right arising from this agreement, such failure shall not constitute a waiver of its rights.

If any provision of this agreement is declared null, invalid, or unenforceable, the validity of the remaining provisions of these Terms shall not be affected.
